Terms of Service

Effective date: June 18, 2026

These Terms of Service ("Terms") govern your use of FriendsConnect, a WordPress plugin and related services provided by Daniel Marcus, doing business as Reciprocal Interactive ("Reciprocal Interactive," "we," "us," or "our"). By installing, activating, or using FriendsConnect, you ("you" or the "User") agree to these Terms.

1. What FriendsConnect is

FriendsConnect is self-hosted software that you install on your own WordPress website. It lets you manage member contact lists and send SMS text messages through your own Twilio account. FriendsConnect is a tool that operates on your site and under your control; you are the sender of every message and the controller of your member data.

2. License and plans

The FriendsConnect plugin is open-source software distributed under the GNU General Public License, version 2 or later (GPLv2+). Separately, we offer the following access tiers to features and services:

Pricing and feature availability may change; changes will not affect the price of an active subscription term already paid.

3. License keys

Pro and Nonprofit access is enabled by a license key issued to you. You agree not to share, resell, or publish your license key. We may suspend or revoke keys that are shared, obtained through false information, or used in violation of these Terms.

Your messaging compliance is your responsibility. FriendsConnect gives you the means to send SMS, but it does not send messages on its own and does not verify that you have permission to contact anyone. You alone are responsible for the legality of the messages you send.

4. Your responsibilities — SMS consent and compliance

You represent and agree that, for every message you send using FriendsConnect, you will:

5. Twilio and message costs

FriendsConnect requires your own Twilio account. Your use of Twilio is governed by Twilio's terms and pricing. All carrier and Twilio messaging fees are billed to you directly by Twilio and are not included in any FriendsConnect plan. Twilio is a third party we do not control; we are not responsible for Twilio's service, availability, deliverability, or charges. Twilio and related marks are trademarks of Twilio Inc.; FriendsConnect is not affiliated with or endorsed by Twilio Inc.

6. Acceptable use

You may not use FriendsConnect to send unlawful, fraudulent, harassing, or unsolicited messages, to impersonate others, or in any way that violates these Terms or applicable law. We may suspend access for violations.

7. Intellectual property

The FriendsConnect name, logo, and marketing materials are owned by Reciprocal Interactive. The plugin code is licensed under GPLv2+ as described above. Nothing in these Terms transfers ownership of our trademarks.

8. Disclaimer of warranties

FriendsConnect is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that messages will be delivered, that the software will be error-free or uninterrupted, or that it will meet your specific compliance obligations. You are responsible for testing and for your own legal compliance.

9. Limitation of liability

To the fullest extent permitted by law, Reciprocal Interactive and Daniel Marcus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost data, revenue, or fines (including TCPA or carrier penalties) arising from your use of FriendsConnect. Our total liability for any claim relating to FriendsConnect will not exceed the greater of the amount you paid us for the service in the twelve months before the claim, or fifty U.S. dollars ($50).

10. Indemnification

You agree to indemnify and hold harmless Reciprocal Interactive and Daniel Marcus from any claims, damages, fines, or expenses (including reasonable attorneys' fees) arising out of the messages you send, your contact data, or your violation of these Terms or applicable law.

11. Subscriptions, billing, and refunds

Paid Pro subscriptions are billed in advance on a monthly or annual basis through our payment processor. You may cancel at any time, and cancellation stops future renewals; access continues through the end of the paid term. If you are not satisfied, contact us within 14 days of your initial purchase and we will consider a refund in good faith. Nonprofit (free) access is not billed.

12. Termination

You may stop using FriendsConnect at any time by deactivating and deleting the plugin. We may suspend or terminate your Pro or Nonprofit access if you breach these Terms. Because the plugin is self-hosted, your member data remains on your own site and under your control.

13. Changes to these Terms

We may update these Terms from time to time and will revise the "Effective date" above. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules, and disputes are subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.
