These Terms of Use ("Terms") govern your access to and use of the website at reciprocalinteractive.com and any related pages we operate (the "Site"). The Site is operated by Daniel Marcus, a sole proprietor doing business as Reciprocal Interactive ("Reciprocal Interactive," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. Who we are
Reciprocal Interactive builds software for nonprofits, libraries, and community organizations. Our products, including FriendsConnect, are governed by their own separate terms, which apply in addition to these Terms when you use those products.
2. Use of the Site
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates applicable law or regulation;
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
- Interfere with or disrupt the Site, including by introducing malware or sending automated traffic that places an unreasonable load on our infrastructure;
- Copy, scrape, or republish Site content except as permitted below.
3. Intellectual property
The Site and its content — including text, graphics, logos, and the Reciprocal Interactive and FriendsConnect names and marks — are owned by or licensed to Reciprocal Interactive and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your personal or organizational use. Our software products are separately licensed under their own terms (for example, the FriendsConnect WordPress plugin is distributed under the GNU General Public License v2 or later).
4. Products and services
Descriptions of our products on the Site are for general information. Your use of any Reciprocal Interactive product is governed by that product's own terms of service and privacy policy. Pricing and features described on the Site may change.
5. Third-party links and services
The Site may link to third-party websites and services (such as Twilio, WordPress.org, or our payment and verification partners). We do not control and are not responsible for the content, policies, or practices of any third party.
6. Disclaimer of warranties
The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
7. Limitation of liability
To the fullest extent permitted by law, Reciprocal Interactive will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising out of your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).
8. Indemnification
You agree to indemnify and hold harmless Reciprocal Interactive and Daniel Marcus from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.
9. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Effective date" above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
10. Governing law
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.
